Terms of Service

1. Acceptance of Terms

1.1 Agreement to Terms

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1.2 Changes to Terms

We may modify these Terms at any time. When we make material changes, we will notify you by email (to the address associated with your account) and/or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.

1.3 Additional Terms

Certain features of the Service may be subject to additional terms and conditions, which will be presented to you when you access those features.

2. Eligibility

2.1 Age Requirements

You must be at least 13 years old to create an account and use the free features of the Service.

You must be at least 18 years old to purchase a paid subscription or make any payment through the Service. By making a purchase, you represent that you are at least 18 years old and have the legal capacity to enter into a binding contract.

2.2 Account Requirements

To access most features of the Service, you must create an account. You may register using:

• An email address and password; or
• Discord OAuth authentication

2.3 Geographic Availability

The Service is available worldwide. However, you are responsible for compliance with local laws in your jurisdiction. We reserve the right to limit availability in specific regions.

3. Accounts

3.1 Account Creation

When you create an account, you must provide accurate and complete information. You may be required to verify your email address before accessing certain features.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password and account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

We are not liable for any loss arising from unauthorized use of your account.

3.3 One Account Per Person

Each individual may maintain only one account. Creating multiple accounts to circumvent subscription limits or for any other purpose is prohibited and may result in termination of all associated accounts.

3.4 Discord Account Linking

If you create an account through Discord or link a Discord account:

• We will receive and store your Discord user ID, username, and avatar
• You may use Discord bot commands to interact with your ScryRPG data
• Discord-first interactions may create a placeholder ScryRPG account that can later be linked or merged into a full account
• Commands used in shared Discord channels may be visible to Discord and to people who can access those channels
• Bulk imports, sensitive review, and account-management workflows may require handoff from Discord to the web app
• Discord's Terms of Service and Privacy Policy also apply to your use of Discord features

4. Subscriptions and Payments

4.1 Free Tier

The Service offers a free tier with limited features including:

• 20 AI credits per month
• Unlimited read-only AI help, subject to abuse prevention, availability, and rate limits
• Limited hosted and joined parties, active characters, concurrent shops, and loot drops as displayed in the Service
• Access to core campaign memory and inventory features

Specific limits are displayed in the Service and may change.

4.2 Paid Subscriptions

We offer paid subscription tiers ("Player," "GM," and "Patron") with enhanced features and higher or unlimited usage limits.

Prices are in US dollars and are subject to change with 30 days' notice.

4.3 AI Credits and Table Mechanics

ScryRPG uses a monthly AI credit pool for approved changes, text generation, image generation, ingestion, and session-audio transcription where enabled. Current launch allowances are:

• Free: 20 AI credits per month
• Player: 50 AI credits per month
• GM: 200 AI credits per month
• Patron: 800 AI credits per month

AI credits have no cash value, are not legal tender, and are not transferable except through Service features that expressly support shared table benefits. Credits may be reserved, debited, released, refunded, or voided by the Service for successful, failed, canceled, abusive, or duplicate operations.

Read-only AI help is intended to be available without credit charges, but it remains subject to rate limits, abuse controls, provider availability, and feature changes. Approved changes and other generation/import/transcription features may consume AI credits at weights displayed in the Service.

Paid users may receive All for One tokens, and Patron accounts may sponsor one party through One for All where enabled. These mechanics affect table-level limits and shared AI capacity, but they do not transfer ownership of accounts, subscriptions, or content.

4.4 Automatic Renewal

Paid subscriptions automatically renew at the end of each billing period (monthly or annual) unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method on a recurring basis.

4.5 Payment Processing

All payments are processed by Stripe, Inc. ("Stripe"). By making a purchase, you agree to Stripe's terms of service. We do not store your credit card information; it is handled securely by Stripe.

4.6 Cancellation

You may cancel your subscription at any time through your account settings or Stripe's billing portal. Upon cancellation:

• You retain access to paid features until the end of your current billing period
• Your account automatically reverts to the free tier when the paid period ends
• No partial refunds are provided for unused time

4.7 Refund Policy

Except where required by law, subscription payments are non-refundable. We do not provide refunds or credits for:

• Partial subscription periods
• Unused features or usage limits
• Downgrade from a higher to lower tier
• Periods where you did not use the Service

4.8 Price Changes

We may change subscription prices with at least 30 days' notice. Price changes take effect at the start of your next billing period after the notice. If you do not agree to a price change, you may cancel before your next renewal.

4.9 Promotional Offers

We may offer promotional discounts, coupon codes, or special pricing from time to time. Promotional offers:

• Are subject to specific terms presented at the time of the offer
• May be limited in quantity, duration, or eligibility
• May not be combined with other offers unless explicitly stated
• May be modified or discontinued at any time

4.10 Deferred Paid Add-Ons

Pay-as-you-go AI credit packs, Forever Familiar, paid creator payouts, and other add-ons are only available if they are separately enabled in the Service with additional terms or checkout disclosures.

4.11 API Access

If we make API (Application Programming Interface) access available for your account, that access is subject to the following terms:

API Keys

• API keys are provided only when API access is available for your account
• You are responsible for keeping your API keys secure and confidential
• Do not share API keys or embed them in public code repositories
• You may regenerate or revoke your API keys at any time through your account settings

Rate Limits

• API access is subject to rate limits based on your subscription tier
• Rate limits are designed to ensure fair usage and service stability
• Exceeding rate limits may result in temporary throttling or suspension of API access
• Current rate limits are displayed in your account settings and API documentation

Acceptable Use

• API access is subject to all terms in this agreement
• You may not use the API to circumvent subscription limits or access controls
• You may not use the API to scrape, mirror, or compete with the Service
• You may not resell API access or build a competing service using our API

Changes and Availability

• We may modify, deprecate, or discontinue API endpoints at any time
• We will make reasonable efforts to provide notice of breaking changes
• API availability is subject to the same disclaimers as the Service generally

Revocation

• We may revoke API keys for violation of these Terms, excessive usage, or security concerns
• Revocation of API keys does not entitle you to any refund

5. User-Generated Content

5.1 Your Content

The Service allows you to create, upload, and share content including but not limited to:

• Item templates and instances
• Shop templates and instances
• Loot tables and instances
• Collections
• Characters
• Parties, party notes, journals, lore, relationships, encounters, scenes, and session notes
• Imported source material, import summaries, extracted facts, provenance, and review decisions
• Conversations with your familiar, approved changes, generated campaign records, and AI-assisted edits you save or approve
• Session-audio transcripts and audio-derived notes if session audio is enabled
• Discord command content or handoff material you choose to send into the Service
• Images and artwork you upload
• Images generated using our AI features
• Text descriptions, names, and other written content
• Ratings and reviews

Collectively, this is referred to as "User Content" or "your content." You retain ownership of the content you create.

5.2 License to ScryRPG

By creating or uploading User Content, you grant ScryRPG a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, store, host, display, and distribute your User Content solely for the purposes of:

• Operating and improving the Service
• Displaying your content to you and (if you choose) other users
• Serving your content to other users who duplicate or instantiate it
• Creating backups and archives
• Processing imports, AI assistant requests, image generation, session-audio transcription, and other features you use
• Sending selected content and context to service providers as described in our Privacy Policy
• Enabling features you use, such as marketplace sharing, party collaboration, Discord handoff, and AI assistance

This license continues for as long as your content remains on the Service and for a reasonable period thereafter to allow for backup retention.

5.3 Public Content and License to Other Users

You control the visibility of your content:

• Private: Visible only to you (and party members if in a party context)
• GM-only or role-limited: Visible only to party users with the required role, such as GM or manager
• Public: Visible to all users through the marketplace
• Unlisted: Accessible via share link but not discoverable in marketplace

Party owners, GMs, and managers may control visibility for party content. Players should only import or share material intended for party-visible use. Discord channel permissions are separate from ScryRPG party permissions, so content posted through Discord may be visible outside ScryRPG's role model.

When you make content public, you grant other ScryRPG users a perpetual, non-exclusive license to:

• View and browse your content
• Duplicate your content to create their own independent copy
• Create instances from your content for use in their parties, shops, and inventories
• Rate and review your content

Duplicates and instances created by other users become their content, not yours. Public content may be rated by other users, and ratings are visible to all users.

5.4 Content Responsibilities

You are solely responsible for your User Content. You represent and warrant that:

• You own or have the necessary rights to your content, including any uploaded images
• You have the necessary rights to upload, import, transcribe, transform, summarize, publish, or share any source files, campaign notes, adventure text, character sheets, audio recordings, transcripts, or other material you submit
• You have obtained all legally required consent before uploading recordings or transcripts of other people
• Your content does not infringe any third-party intellectual property rights
• Any images you upload were created by you, licensed to you, or are in the public domain
• Your content complies with these Terms and applicable laws

5.5 Content Restrictions

You may not create, upload, or share content that:

• Is illegal or promotes illegal activities
• Infringes copyright, trademark, or other intellectual property rights
• Contains malware, viruses, or harmful code
• Is defamatory, harassing, threatening, or abusive
• Contains personal information of others without consent
• Contains recordings, transcripts, or imported materials you do not have the right to process through the Service
• Is deceptive, fraudulent, or misleading
• Is obscene, pornographic, or sexually explicit (unless clearly marked and restricted)
• Violates any applicable law or regulation

5.6 Content Moderation

We reserve the right, but have no obligation, to:

• Monitor User Content
• Remove, disable access to, or restrict visibility of content that violates these Terms
• Suspend or terminate accounts that repeatedly violate these Terms

Content that violates our policies may be made private or removed from public visibility rather than deleted, at our discretion. We will make reasonable efforts to notify you if we take action on your content, unless prohibited by law or if notification could cause harm.

5.7 Uploaded Images and Artwork

You may upload images to accompany your content (such as item artwork, character portraits, or shop images). By uploading an image, you represent and warrant that:

• You own the image or have obtained all necessary rights, licenses, or permissions to use and share it
• The image does not infringe any third-party copyright, trademark, or other intellectual property rights
• You have the right to grant us and other users the licenses described in these Terms

We are not responsible for verifying ownership of uploaded images. If you upload an image you do not have rights to, you may be liable for infringement and agree to indemnify us for any resulting claims (see Section 13).

5.8 Deleting Your Content

Private Content: You may fully delete private content at any time. All associated data will be permanently removed.

Public Content Not In Use: If your public content has not been duplicated or instantiated by other users, you may fully delete it.

Public Content In Active Use: If other users have created duplicates or instances from your public content, full deletion would disrupt their experience. In this case:

• Your content will be removed from your account and from all public visibility
• Your association with the content (as creator) will be removed
• The underlying content data may be retained in anonymized form solely to maintain functionality for existing duplicates and instances
• You will no longer be identified as the creator

This is similar to publishing a recipe: once others have copied it into their own collections, you can remove your name and stop sharing it publicly, but you cannot retrieve copies already in use.

5.9 Copyright Complaints

We respect intellectual property rights and respond to copyright complaints. Please send copyright notices to the contact address listed below.

If you believe content on the Service infringes your copyright, please send a notice with:

• Identification of the copyrighted work claimed to be infringed
• Identification of the allegedly infringing material and its location on the Service
• Your contact information (name, address, phone, email)
• A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law
• A statement under penalty of perjury that the information in the notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner
• Your physical or electronic signature

We may remove or disable access to allegedly infringing content and may terminate accounts of repeat infringers.

6. AI-Generated Content

6.1 AI Features

The Service includes AI-powered features that can answer campaign questions, generate or edit campaign content, process imports, generate images, and transcribe session audio where enabled. These features are powered by configured AI providers and are subject to usage limits, rate limits, and AI credit rules based on your subscription tier.

6.2 How AI Features Work

When you use AI assistance features:

• Your prompts, uploaded or imported material, audio-derived transcripts, selected campaign context, and system instructions may be sent to configured AI provider APIs
• AI providers process that material and return generated, assisted, classified, summarized, transcribed, or transformed content
• We may store conversations with your familiar, approved changes, import summaries, transcript review output, generated or edited campaign records, provenance, and approved results as User Content or operational records
• We log metadata about usage, including tokens, provider/model, timestamp, status, credit reservations/debits, and errors for billing, reliability, security, support, and abuse prevention

6.3 Ownership of AI-Generated Content

When you use our AI features to generate text or images:

• Text and images generated at your request become your User Content, subject to the same terms as other content you create
• You grant us the same license to host, display, and distribute AI-generated content as described in Section 5.2
• When made public, AI-generated content is subject to the same licensing to other users as described in Section 5.3

6.4 AI Limitations and Disclaimers

AI-generated content:

• May not be accurate, appropriate, or suitable for your needs
• May be wrong about tabletop rules, campaign facts, item balance, or story continuity
• May occasionally produce unexpected, offensive, or inappropriate results
• Should be reviewed by you before use
• Is provided "as is" without warranty

You are responsible for reviewing and editing AI-generated content. We are not liable for any consequences of using AI-generated content.

6.5 Session Audio

If session-audio upload or transcription is enabled for your account or party:

• You are responsible for obtaining all required consent from people recorded in the audio and for complying with recording laws that apply to you
• You may not upload audio you do not have the right to process through the Service
• Raw audio may be stored temporarily, sent to a speech-to-text provider, transcribed, reviewed, imported, and then purged according to our Privacy Policy and feature controls
• Transcripts and imported notes become User Content and may be visible to party users according to party roles and visibility choices
• Session audio is a QA-gated launch feature and may remain unavailable until launch-owner gates are met

6.6 AI Provider Terms

Your use of AI features may also be subject to the usage policies of our configured AI providers. By using AI features, you agree not to:

• Attempt to extract, reverse-engineer, or probe AI systems
• Use AI features to generate content that violates applicable provider policies
• Misrepresent AI-generated content as human-created when disclosure is required

7. Third-Party Services

7.1 Integrated Services

The Service integrates with third-party services including:

Your use of third-party integrations is subject to those services' terms and policies. We are not responsible for the practices or content of third-party services.

7.3 TTRPG Game Systems

ScryRPG is a tool for managing tabletop roleplaying campaigns, parties, inventory, lore, imports, and related play materials. We do not own, operate, or represent any tabletop game system including but not limited to Dungeons & Dragons, Pathfinder, or any other game.

Any game system names, terms, or mechanics you use in your content are subject to the intellectual property rights of their respective owners. You are responsible for ensuring your use of game system content complies with applicable licenses (such as the Open Game License, Creative Commons, or publisher-specific fan content policies).

8. Intellectual Property

8.1 ScryRPG Property

The Service, including its design, code, features, documentation, and ScryRPG branding, is owned by Scry Innovations LLC and protected by intellectual property laws. You may not:

• Copy, modify, or create derivative works of the Service
• Reverse engineer, decompile, or disassemble the Service
• Remove or alter any proprietary notices
• Use ScryRPG trademarks without permission

8.2 License to Use the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal or commercial purposes related to tabletop gaming activities. This includes using the Service to support paid game mastering, streaming, content creation, or running gaming events.

You may not resell, redistribute, or white-label the Service itself.

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use that feedback without compensation or attribution.

9. Prohibited Conduct

9.1 General Prohibitions

You may not:

• Violate any applicable law or regulation
• Infringe the rights of any third party
• Harass, abuse, threaten, or intimidate other users
• Impersonate any person or entity
• Interfere with or disrupt the Service
• Use the Service for any illegal purpose

9.2 Technical Prohibitions

You may not:

• Access the Service through automated means (bots, scrapers) except through our official API with a valid API key
• Attempt to gain unauthorized access to any part of the Service
• Probe, scan, or test the vulnerability of the Service
• Circumvent any access controls or usage limits
• Overload or attempt to crash the Service
• Introduce malware, viruses, or harmful code
• Collect user data without consent

9.3 Rating and Review Prohibitions

You may not:

• Manipulate ratings or reviews through fake accounts, coordinated voting, or other deceptive means
• Offer or accept compensation for ratings or reviews
• Rate your own content using alternate accounts
• Retaliate against users for negative reviews through harassment or counter-reviews

9.4 Commercial Prohibitions

You may not:

• Resell, redistribute, or white-label the Service
• Use the Service to provide a competing service
• Use the Service for cryptocurrency mining or similar resource-intensive operations

10. Dispute Resolution

10.1 Informal Resolution

Before initiating arbitration, you agree to first contact us at legal@scryrpg.com and attempt to resolve the dispute informally for at least 30 days. Most disputes can be resolved this way.

10.2 Binding Arbitration

If we cannot resolve a dispute informally, you and ScryRPG agree to resolve any claims through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules.

By agreeing to arbitration, you waive your right to participate in a class action lawsuit or class-wide arbitration.

Arbitration will be conducted in English. The arbitrator's decision is final and binding and may be entered as a judgment in any court of competent jurisdiction.

10.3 Arbitration Fees

If you initiate arbitration, you will pay the AAA filing fee (currently $200 for claims under $10,000). If the arbitrator finds your claim frivolous, you may be required to pay our attorneys' fees.

10.4 Class Action Waiver

You and ScryRPG agree that disputes will be resolved only on an individual basis and not as part of any class, consolidated, or representative action. If this waiver is found unenforceable, the entire arbitration agreement shall be void.

10.5 Small Claims Exception

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within that court's jurisdiction.

10.6 Opt-Out

You may opt out of this arbitration agreement by sending written notice to legal@scryrpg.com within 30 days of creating your account. Your notice must include your name, address, email, and a clear statement that you wish to opt out. If you opt out, you may pursue claims in court.

10.7 Governing Law

These Terms are governed by the laws of the State of Montana, United States, without regard to conflict of law principles. Any court proceedings (where permitted) shall be conducted in Montana.

11. Disclaimers

11.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

11.2 No Guarantees

We do not guarantee that the Service will:

• Be available at all times or without interruption
• Be error-free or secure
• Meet your specific requirements
• Preserve your data indefinitely

11.3 Third-Party Content

We are not responsible for User Content or third-party content accessible through the Service. Any reliance on such content is at your own risk.

12. Limitation of Liability

12.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCRYRPG'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF:

• THE AMOUNT YOU PAID TO SCRYRPG IN THE 12 MONTHS BEFORE THE CLAIM AROSE; OR
• ONE HUNDRED US DOLLARS ($100)

12.2 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCRYRPG IS NOT LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL
• COST OF SUBSTITUTE SERVICES
• DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA

12.3 Basis of the Bargain

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF SCRYRPG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THESE LIMITATIONS ARE AN ESSENTIAL ELEMENT OF THE AGREEMENT BETWEEN YOU AND SCRYRPG.

13. Indemnification

You agree to indemnify, defend, and hold harmless ScryRPG and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your User Content, including any claims of copyright, trademark, or other intellectual property infringement related to images or other content you upload
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of any applicable law

14. Account Termination

14.1 Termination by You

You may request account deletion by contacting us at legal@scryrpg.com. We will verify your identity and process the request through our support/admin workflow. Upon completed deletion:

• Your access to the Service ends immediately
• Your private content will be deleted or disassociated where deletion is not technically or legally available
• Your public content that has been duplicated or instantiated by others may be retained in anonymized form as described in Section 5.8
• Backups may persist for a reasonable period
• Billing, tax, security, notification suppression, anti-abuse, analytics, and audit records may be retained or anonymized where legally or operationally necessary
• You remain responsible for canceling any active subscription through the Service or Stripe billing portal before deleting your account; if you need help, contact support before requesting deletion

14.2 Termination by ScryRPG

We may suspend or terminate your account if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• Your account poses a security risk
• Required by law
• We discontinue the Service

We will make reasonable efforts to notify you before termination unless prohibited by law or if immediate action is necessary. If your account is terminated for cause, you are not entitled to any refund for remaining subscription time.

14.3 Effect of Termination

Upon termination:

• Your license to use the Service ends
• You remain liable for any obligations incurred before termination
• Sections 5.2 (License to ScryRPG), 5.3 (License to Other Users), 10 (Dispute Resolution), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), and 15 (General) survive termination

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and ScryRPG regarding the Service.

15.2 Severability

If any provision of these Terms is found invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full effect.

15.3 No Waiver

Our failure to enforce any provision of these Terms is not a waiver of that provision or our right to enforce it later.

15.4 Assignment

You may not assign or transfer these Terms or your rights under them without our consent. We may assign these Terms without restriction (for example, in connection with a merger or acquisition).

15.5 Force Majeure

We are not liable for any delay or failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet or telecommunications failures.

15.6 Notices

We may send notices to you via email (to the address on your account) or by posting on the Service. You may send notices to us at legal@scryrpg.com.
